David E. Schwartz serves as Vice President-Governance and Compliance, Associate General Counsel and Corporate Secretary of TECO Energy Inc.
As Corporate Secretary, Mr. Schwartz leads a group responsible for corporate governance matters, including the company's proxy statement and annual meeting of shareholders, meetings of the Board of Directors and its committees, insider trading compliance and reporting, matters involving the New York Stock Exchange, and the corporate administration for the company and its approximately 100 subsidiaries. Mr. Schwartz also provides advice with respect to SEC filings and other public disclosures, securities issuances, corporate transactions, investor relations matters, and the company's director and executive compensation programs.
Mr. Schwartz is also responsible for TECO Energy's Corporate Ethics and Compliance program and leads a group which provides training to approximately 5,000 employees across the TECO Energy companies.
Mr. Schwartz received his undergraduate and law degrees from the University of Texas. Prior to joining TECO Energy, he practiced law with the firm of Baker & Botts in Houston.
Mr. Schwartz has served as President of the Association of Corporate Counsel's West Central Florida Chapter and as Chair of the Hillsborough County Bar Association's Corporate Counsel Section. He is also active in the Society of Corporate Secretaries and Governance Professionals.
